Terms of Service

These Terms are a contract between you (or the business you represent) and COLOPiO Innovative Technologies L.L.C, trading as Lucy Repurpose (Dubai, United Arab Emirates, licence 1180723). By creating an account or using the Service, you agree to them. If you use the Service on behalf of an organisation, you confirm you have authority to bind it.

Lucy Repurpose accepts long-form video or audio you upload, transcribes it, uses AI to identify and cut short clips, generates per-platform captions and hashtags, and — where you enable it — schedules posts to connected social channels. Specific capabilities depend on your plan and on features you turn on.

You are responsible for the accuracy of your account information and for activity under your account. Tell us promptly at info@colopio.com if you suspect unauthorised access.

You retain all rights to what you upload ("Input"). You grant us a limited licence to store, process and transform your Input solely to provide the Service to you — to transcribe it, analyse it, cut it, caption it, and deliver the results back to you. We do not claim ownership of your Input and we do not sell it.

You warrant that: (a) you own, or hold all necessary rights and licences to, every video, audio track, image, and piece of music in your Input; (b) processing it through the Service does not infringe any third party's copyright, trademark, publicity, privacy or other rights; and (c) where your Input includes another identifiable person's voice, image or likeness, you have that person's authorisation to submit it (a "Consenting Speaker" warranty). You are solely responsible for your Input and for how you use anything the Service produces from it.

We may remove Input or suspend an account that we reasonably believe infringes these warranties or the law — see our DMCA policy and Acceptable Use Policy.

"Output" means the clips, captions, hooks, hashtags, subtitles, transcripts and other assets the Service generates from your Input.

As between you and us, you own all right, title and interest in your Output, to the extent protectable under applicable law — the law around copyright in AI-assisted output is genuinely unsettled, so we make that warranty honestly rather than overstate it. To the extent we hold any right, title or interest in the Output, we assign it to you. We do not use your Input or Output to train models for any purpose other than providing the Service to you.

Lucy Repurpose is an AI system. Under Article 50 of the EU AI Regulation ((EU) 2024/1689), we mark Output we generate — captions, hooks, hashtags, and other synthetic text or media — in a machine-readable format identifying it as AI-generated. Do not strip or disable that marking.

If you publish or distribute Output, you are the "deployer" of the AI system under Article 50, and applicable law may require you to disclose to your audience that content is AI-generated or AI-manipulated — in particular for deepfake-like audio/video of a real, identifiable person, and for text published to inform the public on matters of public interest. The Service gives you a visible "AI-generated" label you can attach to any clip for exactly this purpose. You are responsible for using it where the law requires disclosure, and for reviewing AI-selected clips and AI-written captions before publishing rather than auto-posting them unreviewed.

Paid plans are billed in advance on a recurring monthly (or, where offered, annual) basis through Stripe, our payment processor. By subscribing you authorise us to charge your payment method on each renewal until you cancel. Pay-as-you-go usage is billed for minutes of video actually processed, at the rate shown on our Pricing page at the time of use.

Consent to recurring charges. By subscribing you agree to: the frequency and approximate amount of recurring charges shown at checkout; that the amount for metered/pay-as-you-go usage is calculated from minutes of video processed multiplied by the published per-minute rate; and this cancellation policy. We keep a record of that consent.

Cancellation. You may cancel at any time from your account's billing page — no phone call or email required. Cancelling stops future renewals; it does not refund the current billing period except as described in our Refund Policy. You keep access to paid features until the end of the period you already paid for.

Price changes. We will give you at least 30 days' notice by email before a price increase takes effect on your plan.

Don't use the Service to process content you don't have rights to, to generate sexual content involving minors or non-consenting real people, to impersonate a real person without disclosure, or for any unlawful purpose. Full policy: Acceptable Use Policy.

The Service relies on infrastructure and AI providers to function — currently Anthropic, Deepgram, Cloudflare, Supabase, Stripe and Hetzner. Their terms and privacy practices govern the parts of processing that occur on their systems; see Privacy Policy — sub-processors for the current list and what each one does.

The Service is provided "as is". AI-selected clips, captions and reasoning are generated by a language model and may be wrong, incomplete, or unsuitable for your audience — review Output before publishing it. We do not guarantee any particular engagement, audience growth, or platform performance from content produced through the Service.

To the maximum extent permitted by law, COLOPiO Innovative Technologies L.L.C's total liability arising from these Terms or the Service is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost content, except where such limitation is not permitted by law (including certain consumer- protection obligations in the EU/UK that we do not exclude here).

We may suspend or terminate an account for breach of these Terms, the Acceptable Use Policy, or applicable law, or for non-payment. You may stop using the Service and cancel your subscription at any time.

These Terms are governed by the laws of the Dubai, United Arab Emirates, without regard to conflict-of-law principles. Courts of Dubai, UAE have exclusive jurisdiction over disputes arising from these Terms, except where applicable consumer-protection law in your country of residence entitles you to bring a claim in your local courts and that right cannot be waived by contract.

We may update these Terms as the Service changes. Material changes take effect no sooner than 14 days after we notify you by email or in-product notice. The "Effective" date at the top of this page always reflects the current version.
